Terms of service

Version 1, October 2026. This text is being reviewed by our lawyer and may be updated.

  1. Scope. These terms apply to all offers, sales and deliveries by Goldenstone Europe ApS ("Goldenstone") to business customers. We do not sell to consumers. The customer confirms that it buys for business purposes. The customer's own terms do not apply unless Goldenstone accepts them in writing.
  2. Orders and contract. An order placed at checkout is a binding offer by the customer. Goldenstone confirms it by email together with the invoice; the contract is made with this confirmation. Goldenstone may decline an order without giving reasons, for example if the minimum order value is not met or the customer cannot be verified as a business.
  3. Prices. Prices are per unit in EUR excluding VAT. VAT is added according to the rules for the customer's country and VAT status; EU business customers with a valid VAT number are invoiced without Danish VAT where the law allows (intra-Community supply). For deliveries in Denmark, the Danish lubricating-oil tax is added to oils. The minimum order value is €999 excluding VAT. EUR pallets are charged per pallet and freight per order; both are added to the invoice.
  4. Payment. Prepayment against the invoice by bank transfer, with the order number as reference. Goldenstone prepares and ships the goods only after full payment has been received; nothing is prepared or shipped before. An unpaid order is not shipped.
  5. Delivery. Goldenstone calculates freight for each order and adds it, together with the EUR pallets used, to the invoice. Alternatively, the customer collects the goods from the Goldenstone warehouse in Hvidovre. Risk passes to the customer when the goods are handed over to the carrier or collected. Delivery times are estimates unless confirmed in writing as fixed dates.
  6. Retention of title. The goods remain the property of Goldenstone until they have been paid in full, to the extent the law allows.
  7. Inspection and complaints. The customer must inspect the goods on delivery and note visible transport damage on the delivery note. Defects must be reported in writing without undue delay after they were, or should have been, discovered (in Denmark: købeloven § 52). Goldenstone may choose to repair, replace or credit defective goods.
  8. Liability. Goldenstone is not liable for indirect losses such as lost profit, production stoppage or loss of data. Total liability is limited to the invoice value of the goods concerned. These limits do not apply where mandatory law provides otherwise, for example in cases of gross negligence or intent, or under product liability law.
  9. Product information. Product images are illustrative; the label, the technical data sheet and the order confirmation are decisive. Specifications such as "VW 504 00" are given as declared by the manufacturer and do not mean that the car maker has approved the product unless an approval document is supplied. The customer is responsible for choosing products suitable for its vehicles and applications. Obvious errors in prices or product information may be corrected before the order is confirmed.
  10. Safety. Use the products as described in the technical data sheet and the safety data sheet (SDS), which are supplied on request. Products containing diisocyanates (for example 2K hardeners) require adequate training before industrial or professional use (EU REACH, Annex XVII, entry 74). Pallet configurations shown in the shop are indicative; the order confirmation is binding.
  11. Returns. There is no statutory right of withdrawal for business purchases. Goods can only be returned by prior written agreement.
  12. Force majeure. Goldenstone is not liable for delays or failures caused by circumstances beyond its control, such as war, strikes, disruptions at suppliers or transport, or official measures.
  13. Language and severability. The English version of these terms prevails over any translation. If a provision is invalid, the other provisions remain in force.
  14. Governing law and venue. These terms are governed by Danish law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Disputes are settled by the Danish courts competent for Goldenstone's registered office.
